Terms of Service

Overview

This contract shows the agreement of the service provider to supply all of the services advertised, mentioned or displayed to the client as per the request of the client.

Definitions

“Service provider” refers to the sarai.work website and Sarai Donawa, which provide services to clients.

“Client” refers to the individual(s), company or companies enlisting the service(s) of the service provider.

“Services” refers to any task or series of tasks done by the service provider on request from the Client, or as part of fulfilling a request from the Client.

“Project” refers to the whole series of related tasks offered by the service provider. Project includes any code, photos, graphics, markup, scripts, videos, or other content created by the service provider while performing services.

“Continuous project” refers to web design projects and projects which are constantly updated.

“Static project” refers to graphic design projects and one-time projects.

 

Content & File Handling

The service provider agrees to supply clients with correct content. The correctness of the content is based on grammar, browser and device compatibility, script validity, usability, and content-appropriateness.

The client agrees to provide all necessary information to be used in a project prior to or in the very early stages of the project in a suitable format. Tables must be placed in an Excel sheet or similar with each row and column correctly ordered. Bodies of text may be placed in any text format.

The service provider must correct any and all issues found within a project within a reasonable timeline or within 5 weeks, or provide alternative solutions.

Text editing is done to correct grammatical, spelling, and sentence structure errors and do not affect the tone, speaking style, or overall congruity of the body or bodies of text unless specified.

Interaction & Reviewing

The service provider agrees to provide polite and respectful customer service to the clients. Clients also agree to respond to the service provider in a polite and respectful manner.

The service provider agrees to notify clients of the completion or corrections of projects during all stages of project construction.

The service provider agrees to provide assistance and answer in sufficient detail any questions in relation to the project or services offered.

The client agrees to review carefully all concepts presented to them and notify the service provider of any issues or complaints concerning the project.

All interaction should be conducted in a manner which can be revisited, preferably in text format. Calls made to any number listed for contact will be recorded and stored so that any information given can be revisited at a later date.

Concept Release

The client agrees that in refusing or neglecting concepts offered in any service revokes their right to use, edit, or distribute the design, especially as their own. Public use or display of unpaid work by a client is considered copyright infringement and a violation of intellectual property.

The client also acknowledges that the service provider has the right to rebrand and sell the concept. Any use or display of a refused or neglected concept by a client is considered copyright infringement and a violation of intellectual property.

Payment

The client agrees to provide payment for all services included in the agreed project cost quote in one to two payments.

Fifty percent (50%) of the fee will be due when this agreement is verified by both parties by signing or by email verification and before any work begins. The remaining fifty percent (50%) of the fee will be due upon completion of the project .

Payment plans can be agreed upon and must be placed in a format that can be revisited and be both verified and honored by both parties.

Additional Costs

Once an invoice is created, any additional costs incurred will be placed on a new invoice. The client must also be notified that the service requested will incur additional costs.

Charges for Edits

Small changes and edits to any text, website element colours, fonts, item positioning, and the removal of elements do not incur an additional charge. However, changes to a completed website that do not correct an error will incur an additional charge and be regarded as website maintenance.

The most recent edit made to a design will be considered the final revision and render the other versions as separate designs, the use of which would incur an additional charge between 20% and 50% of the original price if used. Exceptions to this apply if one or more concepts were included as editions or usable variations.

Once a graphic design has been made, a maximum of 3 edits before its final release can be made until it incurs an additional 15% or more charge.

Late Payment

If a payment is more than 14 days late, no further work will be performed for the client until payment is received.

Cancellation

Either party must give at least 5 days notice to the other party before this contract is cancelled. The cancellation of a project incurs a cancellation fee and renders the first fifty percent (50%), if paid, non-refundable as work would have already begun. Websites will be removed from online viewing and cannot be accessed by any party except the service provider.
